It looks like you may have gone backwards; it sounds like you now may have
a dicky pxelinux.cfg file (prelinux?). Here's a setup from one of my
servers at home for you to compare and contrast:

dhcpd.conf:
allow bootp;
allow booting;
host geexbox {
   hardware ethernet 00:00:39:41:7d:2c;
   option routers 10.2.1.200;
   option domain-name "fop.ns.ca";
   option broadcast-address 10.2.1.255;
   next-server 10.2.1.10;
   filename "/GEEX2/boot/pxelinux.0";
   # filename "/GEEXBOX/boot/pxelinux.0";
   fixed-address geexbox.fop.lan;
}

/tftpboot/GEEX2/boot/pxelinux.cfg/01-00-00-39-41-7d-2c:
DEFAULT geexbox
TIMEOUT 20
PROMPT 1
DISPLAY boot.msg
F1 help.msg
LABEL geexbox
   KERNEL vmlinuz
   APPEND initrd=initrd.gz root=/dev/ram0 rw init=linuxrc boot=nfs splash=silent vga=0x315 video=vesafb:ywrap,mtrr nfsroot=10.2.1.10:/tftpboot/GEEX2
LABEL install
   KERNEL vmlinuz
   APPEND initrd=initrd.gz root=/dev/ram0 rw init=linuxrc boot=nfs installator nfsroot=192.168.0.2:/tftpboot/GEEXBOX.i386
LABEL debug
   KERNEL vmlinuz
   APPEND initrd=initrd.gz root=/dev/ram0 rw init=linuxrc boot=nfs splash=0 vga=0x315 video=vesafb:ywrap,mtrr debugging nfsroot=10.2.1.10:/tftpboot/GEEX2

/etc/xinetd.conf fragment for tftpd:
service tftp
{
        socket_type     = dgram
        protocol        = udp
        wait            = yes
        user            = root
        #server         = /usr/sbin/tcpd
        #server_args    = /usr/sbin/in.tftpd /tftpboot
        server          = /usr/sbin/in.tftpd
        server_args     = -v -s /tftpboot
        disable         = no
}

Successful boot looks like this in the syslog on the server:
